and it's not appearing at all? All i can really see in that picture is a few stained glass windows - its very dark

Make sure that the color that's supposed to be transparent is also index 255 on the color palette, firstly.

hey i run my monitor with brighness 50 and contrast 50 and my hl1 settings are default

That's not the palette index.
There's 256 colors in your texture's color palette. Index 256 (and it's 256, not 255, whoops) is a special color, because that color can become transparent.

Edit: Or I guess it technically is index 255 because it starts with 0 and all that jazz.

Just open the fucker in Wally and see if the very bottom right color on the palette is the color you want it to be.

You'll have to change the transparent area from the color it is now to whatever is the very last color in the palette. Just bucket filling it in Wally would be fine.

I wouldn't recommend using GIMP. You can't paint straight from the palette AFAIK.

Also the texture name has to start with a {. Eg. '{cloth'. Don't forget that, or it still won't work.

i saved that texture as 256 color bitmap in paint

yeah, the texture transparency can be a real PITA with GoldSrc.. The egir.dk tutorial killer-duck mentioned is pretty good.
